B-share hotspot: Yinhe Micro rebounds 20CM on Hantike acquisition

B-share hotspot: Yinhe Micro '20CM' limit-up behind acquisition of Hantike power semiconductors

After a half-month suspension, Yinhe Micro (688689.SH) disclosed its restructuring plan and resumed trading on the same day. The company plans to acquire 100% equity of Hantike Semiconductor from three shareholders—Shanghai Zhineng Hengxin Industrial Electronics Co., Ltd., Gongqingcheng Mingnuo Investment Partnership (Limited Partnership), and Tianmu Yulin (Shanghai) Technology Co., Ltd.—via share issuance, along with a concurrent fundraising.

On the first day back, the stock hit the 20% daily limit, closing at 55.88 yuan per share, with total market cap reaching about 7.2 billion yuan and a turnover rate of only 1.21%. Buy orders at the limit were 291 million shares, 185 times the day's trading volume, representing over 1.5 billion yuan in funds.

In the booming cycle of the power semiconductor industry, the market gave a positive outlook on this traditional discrete device manufacturer's move into the medium-to-high voltage power semiconductor segment. However, the acquisition still faces multiple controversies: insider trading allegations due to abnormal stock price surge before suspension, undetermined target valuation, and potential large goodwill impairment, casting doubt on the integration outlook.

Integration challenges: product line and customer management, team retention

Pangu Think Tank senior researcher Jiang Han said the biggest integration challenge is fine management of product lines and customers. With Hantike's over 700 products added, the total exceeds 1,000, significantly increasing customer management and capacity allocation complexity. Second, core technology is tightly tied to the R&D team; without adequate equity incentives and non-compete clauses, there is a risk of talent loss and goodwill impairment.

Logic: filling gaps, synergy in medium-to-high voltage power semiconductor technology

Unlike some cross-industry acquisitions, this deal is seen as typical industry consolidation to fill gaps and enhance synergy. If completed, the company can quickly fill its shortage in medium-to-high voltage power semiconductor technology, filling premium product gaps and improving its overall product matrix.

Yinhe Micro has long relied on small-signal devices and low-voltage power devices as its core revenue driver, but has been relatively slow in high-end areas like high-voltage MOSFETs, IGBTs, and SiC. As industry leaders continue to release capacity, the window for latecomers is narrowing.

According to the restructuring plan, Hantike is a national-level specialized and new 'Little Giant' enterprise focusing on power semiconductor product research, development, and sales, with products used in various power supplies, lithium battery protection, brushless motors, new energy, E-car (OBC, electric control), etc. Hantike possesses medium-voltage SGT MOSFET technology and high-voltage Super Junction technology, with its 150V-200V medium-to-high voltage SGT MOSFF reaching domestic top-tier levels, capable of pin-to-pin replacement of Infineon's medium-voltage series products.

This transaction is described as a 'Fabless design + IDM manufacturing' industrial chain integration: Yinhe Micro has mature chip manufacturing capacity but lacks high-end design capabilities; Hantike has advanced design technology but no own production line, long constrained by foundry capacity and cost fluctuations. The businesses have complementary potential, but synergy realization depends on post-integration execution.

Valuation fog and risks: transaction price undisclosed, consolidation timeline, goodwill pressure, pre-suspension price anomaly

One key market discussion point is valuation and capital pressure. The share issuance price for the transaction is 28.48 yuan per share, with a 36-month lock-up for the counterparty. The supporting fundraising will be used for transaction fees, intermediary costs, target project construction, and replenishing working capital and repaying debt. However, the final valuation and consideration in the plan have not been finalized; auditing and evaluation are still underway.

As of the plan signing date, Hantike's 2024 and 2025 revenue were 206 million yuan and 193 million yuan respectively; net profit attributable to parent was 32.2325 million yuan and 35.718 million yuan, showing stable growth. By end of 2025, Hantike's parent shareholder equity was only 416 million yuan, reflecting a significant light-asset nature.

Jiang Han believes that the core valuation of light-asset semiconductor design companies lies in intangible assets such as IP cores and R&D teams. Traditional PE/PB models may fail given profit volatility and high early-stage investment. He suggests a multi-stage DCF model as the basis, supplemented by relative valuation for cross-validation, while factoring in technology iteration risk and downstream application cycle factors.

From the listed company's fundamentals, Yinhe Micro's net profit attributable to parent declined year-on-year from 2022 to 2023. In 2024, revenue reached 909 million yuan, up 30.75%; net profit was 71.8742 million yuan, up 12.21%. In 2025, revenue was 1.05 billion yuan, up 15.46%; net profit was 79.9047 million yuan, slowing to 11.17% growth, momentum further weakening.

Financially, the company's cash and equivalents at end-2025 were only 137 million yuan, down 44.65% year-on-year. Operating cash flow weakened, with net operating cash inflow of 43.7501 million yuan, down 34.73%, due to longer customer payment cycles and inventory buildup.

Industry insiders point out that realising cycle benefits from this acquisition depends on consolidation timing and synergy delivery. If high-premium acquisition creates significant goodwill, subsequent performance misses would erode listed company profits.

Additionally, the stock price surge before the suspension raised insider information leakage concerns. On June 10-11, two trading days before the suspension announcement, Yinhe Micro shares jumped nearly 19% cumulatively with heavy volume, while the semiconductor sector index rose only 2.70%. The company issued a statement claiming no insider information leakage or insider trading among relevant parties.

Regarding market concerns, Blue Whale News contacted Yinhe Micro's board office on June 29 but received no response by press time.
